If MAAC has passed a bylaw the members don't know about, such as an unpublished agreement with AMA, I think there might be something lacking:

Quote:
All amendments will then be put to a vote at that meeting requiring a two-thirds majority vote of the members and proxies to carry.

A standing resolution which has the effect of a revision to the by laws of M.A.A.C. as herein stated shall be deemed to be a revision to the constitution and as such will be subject to the provisions of this article.
AMA has this to say:

Quote:
Dear Applicant:
AMA membership has certain insurance restrictions that may be applicable to you. The words, “Limited
Worldwide Coverage,” in our policy means that there is liability coverage for accidents occuring worldwide, but,
the liability protection insures only those AMA members whose permanent (normal) residence is in the United
States, its territories, possessions or Canada.
I see Canada included in that. I am a permanent resident of Canada.
MAAC accepts AMA insurance coverage.

If there is an unpublished agreement bewteen MAAC and AMA dis-allowing what the published documents say, is not MAAC creating a bad act and looking towards future litigation?

Worse yet: why would the board of directors willingly fail to inform the membership? Is that not breach of trust?
